Terms of Service

1. Agreement to Terms

By accessing or using Acera Labs ("the Platform"), operated by Acera Labs Pty Ltd (ABN pending) ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

Acera Labs is a SaaS marketing intelligence platform providing AI-powered analytics, customer segmentation, propensity modelling, customer lifetime value prediction, full funnel modelling (Bayesian MMM), and autonomous AI agents.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorised use.

4. Data Ownership

You retain all ownership rights to the data you upload to the Platform. We do not claim ownership of your data. We process your data solely to provide the services described herein and in our Privacy Policy.

5. Acceptable Use

You agree not to use the Platform for any unlawful purpose or in violation of our Acceptable Use Policy. We reserve the right to suspend or terminate accounts that violate these terms.

6. AI-Generated Outputs

The Platform uses artificial intelligence to generate predictions, scores, recommendations, and reports. These outputs are provided as decision-support tools only. You are responsible for all decisions made using AI-generated outputs. See our AI Disclaimer for more detail.

7. Fees and Payment

Fees are as described on our pricing page. We may change pricing with 30 days' notice. All fees are in Australian Dollars (AUD) unless otherwise stated and are exclusive of GST.

8. Service Level

We target 99.9% uptime for the Platform, measured monthly, excluding scheduled maintenance. We will provide reasonable notice of planned maintenance windows.

9. Limitation of Liability

To the maximum extent permitted by Australian law, our total liability for any claims arising from your use of the Platform is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, we will make your data available for export for 30 days, after which it will be securely deleted.

11. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect.
